Acceptance

These Terms are an agreement between you and Prezuva Ltd, a company registered in the United Kingdom whose address is Unit A, 82 James Carter Road, Mildenhall IP28 7DE ("Prezuva", "we", "us").

By creating an account or using Prezuva services, you agree to these Terms and our Privacy Policy.

If you accept these Terms on behalf of a school, district, university, or other organisation, you confirm that you are authorised to bind that organisation. Where a separate written agreement, institutional order form, or contributor agreement is in place with Prezuva, that agreement governs in the event of a conflict with these Terms, followed by any feature-specific terms presented in the product, and then these Terms.

If you do not agree to these Terms, do not create an account or use the services.

Definitions

  • Services: prezuva.com, app.prezuva.com, the Prezuva editor, dashboards, studios, live teaching tools, libraries, APIs, and related services.
  • User Content: lessons, presentations, media, questions, diagrams, models, submissions, and any other material you create or upload.
  • Contributed Content: User Content you submit through Creator Studio for review and possible publication into the Prezuva library.
  • Published Content: Contributed Content that Prezuva has reviewed and made available to other users through the library.
  • Contributor: a user approved to submit Contributed Content and, where eligible, to participate in revenue sharing.
  • Institution: a school, district, university, or other organisation that administers Prezuva accounts or access for its members.
  • AI Output: text, questions, images, diagrams, translations, or other material generated by the Services' AI features.

Accounts and Eligibility

  • You must provide accurate account information and keep credentials secure.
  • You are responsible for all activity under your account.
  • Some account features may require email verification before access is granted.
  • If you use Google or Facebook sign-in, you authorize us to rely on the account identity data from that provider needed to authenticate you.
  • Prezuva offers distinct account types, including teacher, student, contributor, institution, and administrator accounts. Features, quotas, and permissions differ by account type, plan, and role.
  • Student accounts and student participation may be created, invited, or administered by a teacher or Institution. Where an Institution manages accounts, that Institution controls provisioning, access, and removal.
  • You must be at least 13 years old to create or use a Prezuva account, or older if the age of digital consent in your country is higher (for example 16 in some EU countries). Users below that age may only use Prezuva through an account provided and managed by their school or Institution, which is responsible for obtaining any consent required by law.
  • Administrator, contributor, and reviewer permissions are granted at Prezuva's discretion and may be adjusted, limited, or withdrawn.
  • Accounts are personal. Do not share credentials or allow others to use your account.
  • Institutions may manage and administer user access under their own policies.

Schools and Institutions

Institutions may hold their own workspace, dashboard, and administrator accounts, and may create, approve, group, or remove teacher and student access within that workspace. Institution administrators can view and manage courses, classes, groups, assignments, quizzes, grades, submissions, and related records created within their workspace.

Institutions are responsible for obtaining any consents, authorisations, and notices required in their jurisdiction for staff and student use of the Services, for the lawfulness of the data they and their users place into the Services, and for their users' compliance with these Terms. Where required, a separate data processing agreement may be entered into with Prezuva.

If an Institution's agreement ends, access to Institution-managed workspaces, courses, and records may be suspended or removed in accordance with that agreement.

Plans, Billing, and Access

Prezuva offers a free plan and paid subscription plans. The plans, prices, and features currently available are shown on our pricing page and in the app. Enterprise and Institution plans are handled through separate commercial agreements or order forms, which take precedence over this section where they differ. Student participation features may be offered free where specified.

Entitlements and allowances

  • Entitlements: access to individual capabilities, such as starting a live teaching session, creating activities, quizzes, assignments, or courses, premium library access, private storage, upload size, and AI features, is controlled by the entitlements attached to your plan. Attempting to use a capability that your plan does not include may be blocked until you upgrade.
  • Usage allowances: some capabilities, in particular AI generation, translation, and background removal, are metered and subject to periodic allowances. Once an allowance is exhausted, the capability may be unavailable until the allowance resets or the plan is upgraded. Unused allowances do not roll over and have no cash value. Usage records are available to you in the product.

Beta access and free trials

  • Beta access: while Prezuva is in beta, we may give accounts free access to some or all paid features through a Beta Access plan. Beta access is a temporary, free evaluation period. It is not a paid subscription, has no guaranteed duration, and may change, be limited, or end at any time. Any end date we show for the beta is a planned date and may move.
  • When the beta ends: accounts on Beta Access move to a free trial of the length we set and show in the app at that time. We will tell you before the beta ends, by email or in the app.
  • Free trials: new accounts, and accounts leaving the beta, may receive a free trial of a paid plan. The trial length and the features included are shown in the app. Trials are free and do not require a payment method, and you are never charged automatically when a trial ends.
  • When a trial ends: your account moves to the free Basic plan unless you subscribe to a paid plan. Your lessons and content are kept, but features, allowances, storage, and premium library content beyond the free plan become unavailable until you subscribe. If your stored content exceeds the free plan's limits, you may be unable to upload more until you are back within them.
  • Limits: one free trial per person. We may decline, shorten, or end a trial or beta access where we reasonably suspect misuse, such as creating several accounts to obtain repeated trials. Trial and beta access have no cash value and cannot be transferred.

Payments

  • Payment processor: payments are processed by Stripe. When you pay, you also agree to Stripe's terms for the payment method you use. Prezuva does not receive or store your full card number.
  • Billing periods: paid plans are billed in advance, monthly or yearly, as chosen at checkout. Your billing period starts on the date of your first payment.
  • Prices and currency: prices are charged in the currency shown at checkout. Your bank or card issuer may charge currency conversion or foreign transaction fees, which Prezuva does not control.
  • Taxes: our prices include VAT and similar sales taxes where they apply. The tax included in your payment is based on your billing address and is shown at checkout and on your receipt. If you buy as a business and provide a valid tax ID, tax may be handled under reverse charge where the law allows. You are responsible for giving us accurate billing details.
  • Invoices and receipts: a receipt is emailed for each payment, and invoices and payment history are available from Manage billing in the app.
  • Promotion codes: discounts and promotion codes apply only as described in the offer, cannot be exchanged for cash, and may be limited to new customers, a set number of billing periods, or a single use.

Renewal and cancellation

  • Automatic renewal: subscriptions renew automatically at the end of each billing period, and the payment method on file is charged the then-current price, until you cancel.
  • How to cancel: you can cancel at any time from Manage billing in the app. Cancellation takes effect at the end of your current billing period: you keep paid access until then and will not be charged again.
  • Deleting your account: if you delete your account, we cancel any active subscription and no further payments are taken.
  • After a subscription ends: your account moves to the free plan. Your lessons and content are kept, but features, storage, and premium library content beyond the free plan become unavailable. If your stored content exceeds the free plan's limits, you may be unable to upload more until you are back within them.

Changing plans

  • You can switch plan or billing interval from the app. Changes take effect immediately.
  • When you change plan, we calculate the difference for the rest of your current billing period (proration). If you upgrade, the prorated amount is charged straight away. If you downgrade, the unused value of your previous plan is applied as credit to your future invoices. Credit is not paid out in cash.
  • The exact amount is shown before you confirm a change.

Refunds and your right to cancel

  • No refunds: payments are non-refundable, including for partial billing periods, unused features or allowances, and periods in which you did not use Prezuva, except as set out below or where the law requires otherwise. If you cancel, you keep access until the end of the period you have paid for.
  • Our mistakes: if we charge you in error, for example a duplicate charge or a charge after you cancelled, we will refund it in full.
  • Consumers in the UK and EU: if you buy as a consumer, you have a legal right to cancel within 14 days of your first purchase of a subscription. By subscribing, you ask us to start your subscription immediately. If you cancel within those 14 days, we will refund what you paid less a proportionate amount for the days your subscription was active. To cancel, contact us through Contact Us in the app or at info@prezuva.com within the 14 days. Refunds go back to your original payment method, normally within 14 days. This right does not apply to renewals, or to purchases made for business purposes.
  • Nothing in these Terms affects your statutory rights as a consumer.

Failed payments and disputes

  • Failed payments: if a payment fails, we notify you by email and retry the charge over the following days. Your access continues during this period. If payment still cannot be collected, your subscription is cancelled and your account moves to the free plan.
  • Payment method: you can update your card or payment method at any time from Manage billing.
  • Chargebacks: if you think a charge is wrong, please contact us first and we will put it right. If you dispute a valid charge with your bank instead, we may suspend paid features while the dispute is open.

Price changes

  • We may change our prices or plan contents. For an active subscription, we will give you at least 30 days' notice by email before a price increase takes effect. The new price applies from your next renewal after that notice, and you can cancel before then if you do not wish to continue.
  • Price changes never affect a billing period you have already paid for.

AI Features

Prezuva includes AI-assisted features, which may include text generation and rewriting, question and quiz generation, diagram, flowchart, and image suggestion or generation, interactive diagram and 3D content generation, translation, and image background removal. To provide these features, your prompts, selected content, and related context are processed by Prezuva and by third-party AI and media processing providers acting on our behalf.

  • Review before use: AI Output can be inaccurate, incomplete, biased, or unsuitable for a given class, curriculum, or age group. You are responsible for reviewing, verifying, and editing AI Output before teaching, publishing, assessing, or grading with it. AI Output is not professional, medical, legal, or safety advice.
  • Your responsibility for inputs: do not submit content to AI features that you do not have the rights to use, or that contains sensitive personal data about students or others beyond what is necessary for the lesson.
  • Ownership: as between you and Prezuva, you may use AI Output you generate as part of your User Content, subject to these Terms. AI Output may not be unique, and similar or identical output may be generated for other users. We make no representation that AI Output is free of third-party rights.
  • Limits: AI features are metered, may be rate-limited, queued, or temporarily unavailable, and may change or be withdrawn.
  • Prohibited AI use: do not use AI features to generate unlawful, harassing, deceptive, sexual, or age-inappropriate material, to impersonate others, to circumvent academic integrity rules, to build or train a competing model or dataset, or to evade usage allowances.
  • Labelling: AI-generated material submitted to the library may be recorded and reviewed as AI-generated, and we may require disclosure of AI assistance in Contributed Content.

Creator Studio and the Contributor Programme

Creator Studio lets approved contributors build and submit reusable teaching content for the Prezuva library, including element sets, lesson templates, interactive diagrams, editable SVGs, questions and question sets, equation and reaction sets, simulations, 3D and interactive models, videos, animations, images, flowcharts, activities, and assessment templates.

  • Access to Creator Studio, and to individual studios within it, is granted at Prezuva's discretion and may be conditioned on approval, verification, plan, role, or ongoing quality standards.
  • Applying. Contributor access may require an application. The information you give must be accurate, and you may include only portfolio links and sample materials you have the right to share. We review applications at our discretion, may ask for more information, and may approve, decline, or approve for particular subjects only, without being obliged to give detailed reasons. You may withdraw an application before a decision is made.
  • Granting and removing contributor status. Prezuva decides who is a contributor. We may grant, expand, narrow, suspend, or withdraw contributor status and access to any studio at any time and at our sole discretion, including where content quality, accuracy, rights compliance, conduct, or platform needs change, and we may do so without prior notice where the reason is urgent. Contributor status is a permission, not an entitlement, and it does not create a right to publish, to remain published, or to continue earning.
  • Where contributor status is withdrawn, content already published remains subject to the minimum availability period and the licences described below, and any verified earnings already accrued are handled under the revenue sharing rules.
  • You must have all rights necessary to submit Contributed Content, including rights to any images, media, models, text, data, third-party assets, and stock or open-licensed material you incorporate, and you must comply with the licence terms of that material.
  • Contributed Content must be original or properly licensed, curriculum-appropriate, accurate to the best of your knowledge, free of malware, and free of personal data about students or identifiable third parties unless you have the necessary rights and consents.
  • You must accurately describe Contributed Content, including its subject, level, type, tags, and any AI assistance used in its creation.
  • Prezuva may edit metadata, re-categorise, re-file, retitle, version, or reformat Contributed Content for library organisation, technical compatibility, accessibility, or quality consistency.
  • Participation in Creator Studio does not create an employment, agency, partnership, or joint venture relationship. Contributors act as independent parties and are responsible for their own taxes and legal obligations.

Content Submission and Review

Contributed Content is submitted for review before it can become Published Content. Review outcomes may include approval, request for changes, rejection, or approval with modified metadata or categorisation. Prezuva has sole discretion over whether content is published, how it is presented and categorised, and how long it remains available.

Minimum availability period. Once Contributed Content is published into the library, it remains available in the library for a minimum period of six months from the date of publication. During that period you may not withdraw it, and requests to delete or remove it will not be actioned, except where we are required to remove it by law, where it infringes third-party rights, or where it breaches these Terms. This period allows teachers to rely on library content in lessons and courses they have already built, and allows usage to be measured for revenue sharing. We may nevertheless agree to de-list or remove content earlier at our sole discretion, for example where you have a compelling personal, professional, or rights-related reason. Early removal is a discretionary accommodation rather than a right, must be requested through the product or by contacting us, and is subject to the same de-listing mechanics described below.

After the minimum period. Once six months have elapsed, you may submit a content removal request through the product. Where we accept the request, we will de-list the content so that it no longer appears in library search, browsing, or recommendations, and it can no longer be newly inserted by other users. Users who already inserted the content into their lessons, courses, or saved materials before de-listing may continue to use, view, present, and edit those materials, and the stored copy inside those materials remains in place so that they keep working. De-listing is therefore a removal from discovery rather than a deletion from every place the content has already been used.

We may unpublish, restrict, version, replace, or remove Published Content at any time, including for rights complaints, quality issues, factual or safety concerns, curriculum changes, technical incompatibility, security risk, or legal requirement. Removal is not always immediate, and copies may persist where they have already been inserted into other users' lessons, courses, or saved materials, or in backups and logs, as described in the Privacy Policy.

Review does not constitute an endorsement, an accuracy guarantee, or legal clearance of Contributed Content, and does not transfer responsibility for rights clearance from you to Prezuva.

Revenue Sharing and Payouts

Prezuva operates a contributor revenue sharing programme. Where you are an eligible Contributor with Published Content, you may earn a share of a contributor pool based on measured usage of your Published Content across the platform. The programme is discretionary, is described in the product, and is subject to the rules below.

  • Programme under development. The contributor revenue sharing programme is still being built out. Elements including payment processing and payout providers, verification and identity checks, tax documentation, currency support, dispute handling, statement formats, and period schedules are not yet final and will be specified in updated terms, a separate contributor agreement, or in-product documentation before they take effect. Until those details are published, participation is on the basis described here, and we may pause, delay, or stage the rollout of payouts while the necessary processes and providers are put in place.
  • Contributor pool: for each revenue period, Prezuva determines an amount of eligible revenue and allocates a defined percentage of it to the contributor pool, retaining the remainder as the platform share. The current split, currency, and calculation mode are shown in the product and may be updated for future periods.
  • Usage-weighted allocation: your share of the pool is calculated from weighted usage of your Published Content. Weighting may take into account the type of content, the kind of usage event (such as insertion into a lesson, use in a live class, or unique students opening content from a course), reach, and engagement. Some events are deliberately excluded from the calculation to prevent repeated or automated actions from inflating value. Weights, formulas, thresholds, and excluded events may change for future periods.
  • Periods and finalisation: earnings are calculated per revenue period. Figures shown before a period is finalised are provisional estimates and may change. Prezuva may recalculate, adjust, or reverse amounts to correct errors, duplicate records, invalid or fraudulent usage, refunds, chargebacks, or content later found to infringe or violate these Terms.
  • Payout profile: to receive a payout you must submit and maintain an accurate payout profile, which may include your account holder name, country, currency, payout method (such as mobile banking, bank transfer, PayPal, or Wise), payment identifier, and bank or branch details. Payout profiles are subject to verification and may be marked pending, verified, or rejected. Payouts are not made against unverified, rejected, or incomplete profiles.
  • Minimum threshold: a minimum payout amount applies. Balances below the threshold carry forward to later periods until the threshold is met.
  • Payment execution: payouts are processed in batches after a period is finalised and verification is complete. Timing depends on batch schedules, payment providers, and banking systems. Provider, intermediary, and currency conversion fees may be deducted or applied by the provider.
  • Taxes: you are solely responsible for reporting and paying all taxes, contributions, and levies on amounts you receive. You must provide any tax or identity information reasonably required by law or by our payment providers, and we may withhold amounts where required by applicable law.
  • Set-off and recovery: we may withhold, offset against future earnings, or recover amounts that were overpaid, paid in error, or attributable to invalid usage, fraud, manipulation, self-dealing, or content removed for rights or policy violations.
  • Manipulation: artificially inflating usage, including through automated activity, coordinated accounts, duplicate or spam submissions, or circular use of your own content to generate events, is prohibited and may result in forfeiture of earnings and termination of contributor access.
  • No guarantee: Prezuva does not guarantee any level of usage, publication, visibility, revenue, or earnings. The programme, its rates, formulas, thresholds, eligibility rules, and continued existence may be changed, suspended, or discontinued, with unpaid verified balances above the minimum threshold settled in the ordinary course where the programme is discontinued.
  • Termination: if your account is terminated for a violation of these Terms, unpaid amounts attributable to the violating conduct or content may be forfeited to the extent permitted by law.

Library and Marketplace Licensing

By submitting Contributed Content, you grant Prezuva a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, convert, adapt for technical and accessibility purposes, index, categorise, publish, distribute, publicly display, and make the content available to other users through the Services, and to use excerpts, thumbnails, or previews to promote the library and the Services. You retain ownership of your Contributed Content, and this licence does not transfer copyright.

Where content is published into the library, other users receive a limited, non-exclusive, non-transferable licence to use, insert into their own lessons and courses, adapt, and present that content for their own teaching and learning within the Services, subject to their plan and entitlements. Users may not extract, redistribute, resell, publish outside the Services, or use library content to train machine learning models, except where the Services expressly provide an export or sharing feature and that feature is used as intended.

If Published Content is later de-listed, removed, or unpublished, lessons and courses in which it was already used may continue to include a stored copy, and users' existing use of those materials may continue. Licences granted to users before de-listing survive to the extent needed for those materials to keep working. The licence you grant to Prezuva is irrevocable for the minimum availability period described in Content Submission and Review, and thereafter survives to the extent needed to support materials already created by other users.

Acceptable Use

  • No unlawful, harmful, abusive, or infringing content.
  • No attempts to disrupt, reverse engineer, or compromise the service.
  • No misuse of authentication, class codes, integrations, or API endpoints.
  • No uploading or sharing of malware, unauthorized personal data, or content you do not have rights to use.
  • No harassment, bullying, hate speech, sexual content involving minors, or material that is otherwise inappropriate for an educational setting.
  • No scraping, bulk downloading, automated extraction, or use of the Services or their content to develop, train, or evaluate machine learning models or competing products.
  • No circumvention of entitlements, usage allowances, storage quotas, paywalls, review processes, or access controls, and no sharing of accounts to do so.
  • No manipulation of usage metrics, ratings, impact statistics, or revenue sharing calculations.
  • No joining, disrupting, or impersonating participants in live teaching sessions you are not authorised to attend, and no recording or redistribution of sessions without the permission of the host and participants.
  • No excessive automated requests, load testing, or activity that degrades service performance for others.

Analytics and Cookies

We use Google Analytics on our website and in the app to understand how they are used. Analytics cookies are optional: they are set only if you agree to them in Cookie settings, and they are never used on pages intended for students. Accepting these Terms is not agreement to analytics cookies, and you can change your choice at any time.

Separately from analytics, we record the operational events needed to run the Services, such as entitlement and allowance enforcement, contributor impact and revenue sharing calculations, improving library search, and counting opens of our campaign links. These records are part of providing the Services, are not controlled by cookie settings, and are described in our Privacy Policy.

Content Ownership and License

You retain rights to content you create or upload. You grant Prezuva a limited license to host, process, store, convert, transmit, and display that content solely to operate, secure, maintain, and improve the service.

Where you choose to share content, for example by publishing to a class or course, sharing a lesson, or submitting to the library, you additionally grant the licences needed to make that sharing work, as described in Sharing Lessons and Library and Marketplace Licensing.

Prezuva, its software, interfaces, designs, trade marks, and the library as a compiled collection remain the property of Prezuva and its licensors. Nothing in these Terms grants you rights in Prezuva's own intellectual property beyond the right to use the Services as permitted.

If you send us feedback, feature requests, or suggestions, you grant us a perpetual, irrevocable, royalty-free right to use them without obligation to you.

User Uploads, Media, and Storage

Prezuva may allow you to upload files and media such as images, video, audio, PDFs, presentations, embedded media, lesson assets, assignment submissions, and related classroom materials. You are responsible for ensuring you have the rights to upload and use that content. We may apply storage quotas, file-type restrictions, or size limits, and we may remove content that violates these Terms, applicable law, or platform security requirements.

Uploads may be processed to make them usable in the product, including document conversion, image and video transcoding, thumbnail generation, background removal, and embedding of external media by reference. Processing may be performed by third-party providers acting on our behalf, and results can vary in quality.

Private storage capacity and maximum upload size depend on your plan. If your plan changes, lapses, or is downgraded, uploads exceeding the new limits may become read-only, unavailable, or subject to removal after notice. You are responsible for maintaining your own copies of material that matters to you; the Services are not a backup or archival service.

Courses, Classes, Assignments, and Quizzes

Prezuva includes course, live classroom, assignment, quiz, grading, and submission features. Teachers, schools, and institutions may determine visibility, access, deadlines, attempts, grading, and publication of results within the service. Student and participant access may be limited to content made available by the relevant teacher or institution.

Course and class access may operate through join requests and approvals, groups, class codes, folders, and invitations. Teachers and Institutions control approvals, and may revoke access at any time. Submissions, remarks, grades, and review records are visible to the relevant teacher and Institution administrators as part of operating the service.

Prezuva is a tool for delivery and record-keeping. Academic decisions, grading standards, integrity policies, accommodations, and the accuracy of published results remain the responsibility of the teacher and Institution.

Live Teaching Sessions

Live teaching features allow a host to start a session, admit attendees through class codes or invitations, and run interactive activities such as polls, question and answer, drawing, and file or image responses. Session state and responses are synchronised in real time to participating devices.

Hosts are responsible for who they admit and for the conduct of their sessions. Attendee display names and responses may be visible to the host and, where the host chooses to display them, to other attendees. Some activity responses are temporary by design and may be reset or cleared by the host or at the end of a session.

Where video conferencing integration is used, the session is additionally subject to the terms and privacy practices of the conferencing provider, and any recording is governed by that provider's controls and by applicable law on notice and consent.

Sharing Lessons

You can share a lesson by link. Anyone with the link can view the lesson without an account, and signed-in recipients may be able to save their own copy. You decide who receives your links, and you are responsible for what a shared lesson contains. In particular, do not share lessons that contain personal information about students, or material you do not have the right to distribute.

You can revoke a share link at any time, after which it stops working. Copies that recipients have already saved remain in their accounts and are not removed when you revoke the link. Sharing a lesson gives recipients a limited right to view it and, where saving is available, to use their copy for their own teaching. It does not transfer ownership of the lesson.

Trying Prezuva Without an Account

Some links we publish, for example in advertising or on social media, let you open the Prezuva editor without creating an account. These Terms, including Acceptable Use, apply to that use.

  • Work you create without an account stays in your browser only. It is not saved to our servers or backed up, and it may be lost if you close the page or clear your browser data. We are not responsible for its loss.
  • The features available without an account are limited and are set for each link. Saving, uploading, AI tools, and similar features may require you to create an account.
  • We may change, pause, or withdraw these links, and the features they unlock, at any time.
  • Do not enter personal information about students or other people while using Prezuva without an account.

We record when these links are opened, as described in our Privacy Policy.

Third-Party Services and Integrations

The Services integrate third-party providers to deliver certain features, which may include Google and Facebook sign-in, video conferencing integration, cloud hosting, object storage and content delivery, transactional email, analytics, payment and payout providers, AI and media processing providers, stock media and icon libraries, translation services, and embedded media from external sites.

Where you connect an external account or use an integration, you authorise the exchange of the data needed to operate it, and your use of that provider is also governed by the provider's own terms and privacy policy. Third-party assets obtained through the Services, including stock images and icons, remain subject to their original licences. We are not responsible for third-party services, their availability, or their content, and an integration may be changed, limited, or discontinued.

Intellectual Property and Takedowns

We respect intellectual property rights and expect our users to do the same. If you believe content on Prezuva infringes your rights, contact legal@prezuva.com with a description of the work, the location of the content on the Services, your contact details, and a statement of your good-faith belief that the use is unauthorised.

We may remove or disable access to content pending investigation, notify the user who submitted it, and terminate the accounts of repeat infringers. Submitting knowingly false claims of infringement may itself give rise to liability. Contributors may also request removal of their own Published Content through the in-product removal request process described above.

Notifications and Communications

We send service and transactional messages such as verification, password reset, security alerts, class and course activity, submission and review outcomes, payout and earnings updates, and billing notices. These are part of the Services and cannot be switched off while your account is active. In-product notifications may also be used for the same purposes.

Marketing and newsletter messages are optional and can be unsubscribed from at any time.

Beta and Experimental Features

Features may be labelled beta, preview, or experimental. These are provided for evaluation, may be unstable or incomplete, may change or be removed without notice, and are excluded from any service commitments. Content created with a beta feature may not be preserved, portable, or compatible with later versions.

Free access given during the Prezuva beta, and the free trial that follows it, are described in Plans, Billing, and Access.

Availability and Changes

We may update, modify, or discontinue features over time. We may also update these Terms and post the latest version with a revised date.

The Services may be unavailable due to maintenance, updates, third-party failures, or events outside our reasonable control. Unless a written agreement states otherwise, no specific uptime or support response time is promised. Material changes to these Terms will be indicated by the updated date, and where the change is significant we will give reasonable notice through the product or by email. Continued use after a change takes effect constitutes acceptance.

Suspension and Termination

We may suspend or terminate access for violations, security risks, legal requirements, or non-payment where applicable. We may also require additional verification or temporarily restrict access to protect the service, users, institutions, or platform integrity.

You may stop using the Services and request deletion of your account at any time. Where your account is managed by an Institution, that Institution may control creation and deletion of your access.

On termination, your right to use the Services ends, entitlements lapse, and stored content may be deleted after any applicable retention period. Contributed and Published Content, and copies of content already incorporated into other users' lessons and courses, may persist as described in Library and Marketplace Licensing. Sections that by their nature should survive, including content licences already granted, payout adjustments and set-off, intellectual property, disclaimers, limitation of liability, indemnification, and governing law, survive termination.

Disclaimer and Limitation of Liability

Services are provided on an "as is" and "as available" basis to the extent permitted by law. To the maximum extent permitted, Prezuva disclaims implied warranties and limits liability for indirect or consequential damages.

Without limiting the above, Prezuva does not warrant that the Services will be uninterrupted or error-free, that AI Output or library content will be accurate, complete, curriculum-appropriate, or free of third-party rights, that content will be preserved without loss, or that any level of usage, publication, or earnings will be achieved.

To the maximum extent permitted by law, Prezuva's total aggregate liability arising out of or relating to the Services and these Terms is limited to the greater of the amounts you paid to Prezuva for the Services in the twelve months preceding the event giving rise to the claim, or one hundred pounds sterling. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, and where your jurisdiction does not allow certain exclusions, those exclusions apply only to the extent permitted.

Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Prezuva and its officers, employees, and contractors from claims, damages, liabilities, and reasonable costs arising out of your User Content or Contributed Content, your use of the Services, your breach of these Terms or applicable law, or your infringement of the rights of others. This does not apply to the extent a claim arises from Prezuva's own breach or unlawful conduct.

Governing Law and Disputes

The Prezuva services are provided by Prezuva Ltd, a company registered in the United Kingdom. Unless a separate written agreement or institutional order form states a different contracting entity and jurisdiction, these Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising out of or relating to them.

Before starting formal proceedings, we ask that you contact us so we can try to resolve the matter informally. Mandatory consumer protections and the right to bring a claim before the courts of your place of residence, where such rights apply to you, are not affected. If any provision of these Terms is held unenforceable, the remainder stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or transfer of assets.
